Terms and Conditions

Please read these terms carefully — they contain disclaimers, releases, limitations of liability, an arbitration agreement, and a class action waiver.

These Terms and Conditions ("Terms") govern your access to and use of the Our Kitchen mobile application, website, and related services (collectively, the "Service") operated by Our Kitchen App LLC ("Our Kitchen," "we," "us," or "our").

These Terms apply to all users of the Service, including visitors, customers, kitchen operators, and any person or entity accessing or using the Service.

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT USE THE SERVICE.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN DISCLAIMERS, RELEASES, LIMITATIONS OF LIABILITY, ARBITRATION PROVISIONS, AND A CLASS ACTION WAIVER.

I. Eligibility

You must be at least eighteen (18) years old to create an account or use the Service.

By using the Service, you represent and warrant that:

  • You are at least 18 years old.
  • You have legal capacity to enter into these Terms.
  • You will comply with all applicable laws.
  • All information provided is accurate and complete.

II. Nature of the Service

Our Kitchen is solely a technology platform and online marketplace that connects customers with independent kitchen operators.

Our Kitchen:

  • Is not a restaurant.
  • Is not a food establishment.
  • Does not prepare food.
  • Does not package food.
  • Does not sell food.
  • Does not own kitchens.
  • Does not employ kitchen operators.
  • Does not supervise food preparation.
  • Does not deliver food.
  • Does not inspect kitchens.
  • Does not guarantee food safety.
  • Does not guarantee legal compliance.
  • Does not guarantee product quality.

Important: Food products are prepared and sold solely by independent kitchen operators.

III. Marketplace Status

Our Kitchen provides a marketplace and communication platform only.

Transactions are solely between Customers and Kitchen operators.

Our Kitchen is not:

  • The seller of food.
  • The merchant of record.
  • An escrow provider.
  • A payment processor.
  • A food manufacturer.
  • A caterer.
  • A grocery store.
  • A delivery company.

Nothing in the Service creates responsibility for food products offered by Kitchen operators.

IV. No Employment, Agency, Partnership, Franchise, or Joint Venture

Kitchen operators are independent businesses.

Nothing in these Terms creates:

  • An employment relationship.
  • An agency relationship.
  • A partnership.
  • A joint venture.
  • A franchise relationship.
  • A fiduciary relationship.

Kitchen operators determine:

  • Menus.
  • Ingredients.
  • Pricing.
  • Preparation methods.
  • Operating hours.
  • Order acceptance.
  • Pickup arrangements.

V. Registration and Account Security

Certain features require account registration.

You agree to:

  • Provide accurate information.
  • Maintain updated information.
  • Protect your password.
  • Be responsible for activity under your account.
  • Notify us immediately of unauthorized access.

We may suspend or terminate accounts at our discretion.

VI. Orders and Payments

A. Direct Transactions

Transactions occur directly between Customers and Kitchens.

Our Kitchen does not:

  • Accept payments.
  • Hold funds.
  • Guarantee payment.
  • Guarantee refunds.
  • Resolve payment disputes.
  • Act as escrow.

B. Pricing and Availability

Kitchen operators are solely responsible for:

  • Pricing.
  • Descriptions.
  • Ingredients.
  • Portion sizes.
  • Availability.
  • Taxes.
  • Order fulfillment.

Our Kitchen does not guarantee listing accuracy.

VII. Food Safety and Assumption of Risk

Foods offered through the Service may be prepared in residential kitchens and may be subject to:

  • Cottage Food Laws;
  • Food Freedom Laws;
  • Microenterprise Home Kitchen Operation (MEHKO) laws;
  • State regulations;
  • County regulations;
  • Municipal regulations.

Risk Acknowledgment:

Our Kitchen does not inspect or certify kitchens and makes no representations regarding:

  • Food safety;
  • Sanitation;
  • Licensing;
  • Legal compliance;
  • Quality;
  • Freshness;
  • Nutritional information.

Customers voluntarily assume all risks associated with food consumption.

VIII. Allergy Warning

Foods may contain or come into contact with:

  • Milk
  • Eggs
  • Fish
  • Shellfish
  • Tree Nuts
  • Peanuts
  • Wheat
  • Soy
  • Sesame

Our Kitchen cannot guarantee that any food is allergen-free.

Customers with allergies or medical conditions should consult directly with the Kitchen operator before consuming any product.

IX. Customer Responsibilities

Customers are solely responsible for their interactions and transactions with Kitchen operators.

Customers agree to:

  • Provide accurate order information.
  • Review ingredients and allergen information before purchasing.
  • Communicate directly with Kitchen operators regarding dietary restrictions.
  • Retrieve orders at the agreed pickup location and time.
  • Inspect food before consumption.
  • Comply with all applicable laws.

Customers acknowledge that Our Kitchen is not responsible for disputes involving:

  • Food quality;
  • Taste preferences;
  • Portion sizes;
  • Pickup arrangements;
  • Pricing;
  • Refunds;
  • Late pickups;
  • Order cancellations.

X. Kitchen Operator Agreement

By creating or maintaining a Kitchen account, you agree to the following additional obligations.

Kitchen operators are solely responsible for:

  • Preparing and selling food products.
  • Food safety.
  • Ingredient disclosures.
  • Packaging and labeling.
  • Pricing and taxes.
  • Customer communications.
  • Order fulfillment.
  • Compliance with applicable laws.

Kitchen operators acknowledge that they operate independent businesses and not as agents, employees, franchisees, or partners of Our Kitchen App LLC.

XI. Compliance with Laws

Kitchen operators represent and warrant that they comply with all applicable:

  • Federal laws;
  • State laws;
  • County laws;
  • Municipal laws;
  • Health department regulations;
  • Cottage Food Laws;
  • Food Freedom Laws;
  • Microenterprise Home Kitchen Operation (MEHKO) laws;
  • Zoning requirements;
  • Labeling requirements;
  • Licensing requirements;
  • Tax laws.

Kitchen operators are solely responsible for determining whether their activities are lawful.

Our Kitchen App LLC does not verify:

  • Permits;
  • Licenses;
  • Insurance coverage;
  • Inspections;
  • Food safety practices;
  • Legal compliance.

Any review or verification performed by Our Kitchen App LLC is voluntary and does not create any duty or warranty.

XII. Kitchen Representations and Warranties

Kitchen operators represent and warrant that:

  • All information provided is accurate.
  • Menu descriptions are truthful.
  • Photos accurately represent products.
  • Ingredient disclosures are complete to the best of their knowledge.
  • They possess all necessary rights to use uploaded content.
  • Food products are lawful to sell in their jurisdiction.
  • Required permits and licenses are maintained where applicable.

Kitchen operators further agree that they shall not:

  • Sell prohibited foods.
  • Sell counterfeit products.
  • Misrepresent ingredients.
  • Misrepresent allergen information.
  • Use misleading advertising.
  • Impersonate another business.
  • Offer illegal products.

XIII. Insurance

Kitchen operators are encouraged to maintain general liability and product liability insurance appropriate to their operations.

Where required by law, Kitchen operators must maintain all legally required insurance coverage.

Failure to maintain insurance does not create liability on the part of Our Kitchen App LLC.

XIV. User Content and Reviews

Users may submit content including:

  • Reviews;
  • Ratings;
  • Photographs;
  • Comments;
  • Messages;
  • Descriptions.

Users are solely responsible for their content.

By submitting content, you grant Our Kitchen App LLC a perpetual, worldwide, royalty-free, sublicensable license to use, display, reproduce, distribute, modify, and publish such content for operation and promotion of the Service.

Our Kitchen App LLC may remove content at its sole discretion.

XV. Community Guidelines

Users agree to interact respectfully with others.

Users may not:

  • Harass or threaten others.
  • Post defamatory content.
  • Publish false reviews.
  • Use hate speech.
  • Encourage violence.
  • Engage in fraud.
  • Post sexually explicit material.
  • Post unlawful content.
  • Share private information without consent.
  • Manipulate ratings or reviews.
  • Create fake accounts.
  • Circumvent account restrictions.

Our Kitchen App LLC reserves the right to remove content or terminate accounts at its sole discretion.

XVI. Prohibited Conduct

You agree not to:

  • Violate any law.
  • Attempt unauthorized access.
  • Interfere with the Service.
  • Upload malware.
  • Reverse engineer the Service.
  • Scrape or harvest data.
  • Use bots without permission.
  • Misrepresent identities.
  • Infringe intellectual property rights.
  • Interfere with another user's enjoyment of the Service.

Violation of these Terms may result in suspension or termination without notice.

XVII. Intellectual Property

Except for User Content, all content and materials available through the Service, including software, text, graphics, logos, designs, trademarks, icons, images, and compilations, are owned by or licensed to Our Kitchen App LLC and are protected by copyright, trademark, trade secret, and other intellectual property laws.

Subject to these Terms, Our Kitchen App LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for personal and lawful purposes.

You may not:

  • Copy or reproduce the Service;
  • Modify or create derivative works;
  • Reverse engineer the Service;
  • Use Our Kitchen trademarks without permission;
  • Commercially exploit any portion of the Service.

XVIII. DMCA Copyright Policy

Our Kitchen App LLC respects intellectual property rights and expects users to do the same.

If you believe that material available through the Service infringes your copyright, you may submit a written notice containing:

  • Your physical or electronic signature;
  • Identification of the copyrighted work;
  • Identification of the allegedly infringing material;
  • Your contact information;
  • A statement made in good faith that use is unauthorized;
  • A statement under penalty of perjury that the information is accurate.

Our Kitchen App LLC may remove allegedly infringing content and terminate repeat infringers.

XIX. Suspension and Termination

Our Kitchen App LLC may suspend, restrict, or terminate access to the Service at any time, with or without notice, for any reason, including:

  • Violation of these Terms;
  • Fraud;
  • Illegal conduct;
  • Safety concerns;
  • Complaints from users;
  • Suspected misuse of the Service;
  • Failure to comply with laws.

Our Kitchen App LLC is not obligated to provide warnings before suspension or termination.

XX. Release of Claims

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE AND FOREVER DISCHARGE OUR KITCHEN APP LLC, ITS MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUCCESSORS, AGENTS, AND LICENSORS FROM ANY CLAIMS ARISING OUT OF OR RELATED TO:

  • Foodborne illness;
  • Allergic reactions;
  • Personal injury;
  • Property damage;
  • Ingredient disclosures;
  • Regulatory violations by Kitchen operators;
  • Food quality disputes;
  • Order cancellations;
  • User-generated content;
  • Actions of Kitchen operators or Customers;
  • Third-party services;
  • Errors or omissions in listings.

XXI. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR KITCHEN APP LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • RELIABILITY;
  • AVAILABILITY;
  • SECURITY;
  • QUALITY;
  • SATISFACTORY PERFORMANCE.

OUR KITCHEN APP LLC DOES NOT WARRANT:

  • THAT THE SERVICE WILL BE UNINTERRUPTED;
  • THAT LISTINGS ARE ACCURATE;
  • THAT FOOD PRODUCTS ARE SAFE;
  • THAT KITCHENS COMPLY WITH LAWS;
  • THAT DEFECTS WILL BE CORRECTED;
  • THAT RESULTS WILL MEET EXPECTATIONS.

XXII. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR KITCHEN APP LLC, ITS MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SUCCESSORS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • PERSONAL INJURY;
  • FOODBORNE ILLNESS;
  • ALLERGIC REACTIONS;
  • LOSS OF PROFITS;
  • LOSS OF DATA;
  • BUSINESS INTERRUPTION;
  • EMOTIONAL DISTRESS;
  • PROPERTY DAMAGE;
  • INDIRECT DAMAGES;
  • INCIDENTAL DAMAGES;
  • SPECIAL DAMAGES;
  • CONSEQUENTIAL DAMAGES;
  • PUNITIVE DAMAGES.

OUR KITCHEN APP LLC'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

  • ONE HUNDRED DOLLARS ($100); OR
  • THE AMOUNT PAID BY YOU TO OUR KITCHEN APP LLC DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

XXIII. Indemnification

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS OUR KITCHEN APP LLC, ITS MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUCCESSORS, AND AGENTS FROM ANY CLAIMS, DAMAGES, LOSSES, COSTS, LIABILITIES, OR EXPENSES, INCLUDING REASONABLE ATTORNEYS' FEES, ARISING FROM:

  • YOUR USE OF THE SERVICE;
  • YOUR USER CONTENT;
  • YOUR VIOLATION OF THESE TERMS;
  • YOUR VIOLATION OF ANY LAW;
  • FOOD PRODUCTS PREPARED OR SOLD BY YOU;
  • ALLERGIC REACTIONS;
  • FOODBORNE ILLNESS CLAIMS;
  • FAILURE TO MAINTAIN LICENSES;
  • MISREPRESENTATIONS;
  • INFRINGEMENT OF THIRD-PARTY RIGHTS.

XXIV. No Duty to Monitor

Our Kitchen App LLC has no obligation to:

  • Monitor the Service;
  • Inspect kitchens;
  • Investigate users;
  • Verify permits;
  • Review all content;
  • Enforce laws on behalf of government agencies.

Any voluntary review, moderation, or enforcement activity undertaken by Our Kitchen App LLC does not create a duty or obligation to continue such activities.

XXV. Force Majeure

Our Kitchen App LLC shall not be liable for delays or failures resulting from causes beyond its reasonable control, including:

  • Natural disasters;
  • Floods;
  • Fire;
  • Pandemics;
  • Government actions;
  • War;
  • Terrorism;
  • Labor disputes;
  • Internet outages;
  • Power failures;
  • Third-party service interruptions.

XXVI. Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

To the fullest extent permitted by law, you and Our Kitchen App LLC agree that any dispute, claim, controversy, or cause of action arising out of or relating to:

  • These Terms;
  • The Service;
  • Any Kitchen listing;
  • Any order or transaction;
  • Any food product;
  • Your relationship with Our Kitchen App LLC;
  • Your relationship with any Kitchen operator or Customer;

shall be resolved exclusively through final and binding arbitration.

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect.

The arbitration shall be conducted by a single arbitrator.

Judgment on the arbitration award may be entered in any court having jurisdiction.

The arbitrator shall have exclusive authority to resolve all disputes regarding:

  • The interpretation of these Terms;
  • The enforceability of these Terms;
  • The applicability of this arbitration provision.

You and Our Kitchen App LLC waive the right to a jury trial.

XXVII. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY.

YOU AGREE NOT TO:

  • Participate in a class action;
  • Act as a class representative;
  • Participate in a private attorney general action;
  • Participate in a collective action;
  • Join claims with other users.

The arbitrator may not consolidate claims from multiple parties.

If this class action waiver is found unenforceable, then the class-related claims shall be litigated exclusively in the courts identified below and not in arbitration.

XXVIII. Governing Law and Venue

These Terms shall be governed by and construed under the laws of the State of Ohio, without regard to conflict-of-law principles.

If a dispute is not subject to arbitration, exclusive jurisdiction and venue shall lie in the state and federal courts located in Franklin County, Ohio.

You consent to the personal jurisdiction of those courts.

XXIX. Electronic Communications and Electronic Signatures

By using the Service, creating an account, or communicating electronically with Our Kitchen App LLC, you consent to receive communications electronically.

Electronic communications satisfy any legal requirement that communications be in writing.

You agree that:

  • Your electronic acceptance of these Terms constitutes a legally binding signature.
  • Electronic records may be used in place of paper records.
  • Electronic notices satisfy legal notice requirements.

XXX. Apple App Store Additional Terms

If you access the Service through an Apple device, the following terms apply:

  • Apple is not a party to these Terms.
  • Apple is not responsible for the Service.
  • Apple has no obligation to provide maintenance or support.
  • Apple is not responsible for claims relating to the Service.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms.

You represent that you are not located in a country subject to a U.S. government embargo and are not listed on any U.S. government prohibited-party list.

XXXI. Google Play Additional Terms

If you access the Service through Google Play:

  • Your use of the Service must comply with Google Play policies.
  • Google is not responsible for support or maintenance of the Service.
  • Google is not responsible for claims arising from your use of the Service.

XXXII. California Residents

California residents may be entitled to additional rights under applicable California law.

Nothing in these Terms shall be interpreted to waive rights that cannot be waived under applicable law.

XXXIII. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law.

The remaining provisions shall remain in full force and effect.

XXXIV. No Waiver

Failure by Our Kitchen App LLC to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Any waiver must be in writing and signed by an authorized representative of Our Kitchen App LLC.

XXXV. Assignment

Our Kitchen App LLC may assign, transfer, or delegate its rights and obligations under these Terms without restriction.

You may not assign or transfer your rights or obligations without prior written consent from Our Kitchen App LLC.

XXXVI. Survival

The following provisions shall survive termination of these Terms and your use of the Service:

  • Marketplace Status;
  • Food Safety Disclaimers;
  • Assumption of Risk;
  • Release of Claims;
  • Intellectual Property;
  • Disclaimers;
  • Limitation of Liability;
  • Indemnification;
  • Arbitration Agreement;
  • Class Action Waiver;
  • Governing Law;
  • Any provision that by its nature should survive termination.

XXXVII. Entire Agreement

These Terms constitute the complete and exclusive agreement between you and Our Kitchen App LLC concerning the Service.

These Terms supersede all prior agreements, understandings, representations, and communications relating to the Service.

The Kitchen Operator Agreement provisions, Community Guidelines provisions, Privacy Policy, and any policies referenced within these Terms are incorporated into and form part of this Agreement.
